本专业服务条款(“专业服务条款”)规定了联想凌拓科技有限公司(“联想凌拓”)向客户提供品牌专业服务所依据的条款和条件,除非客户与联想凌拓按单独的适用协议提供专业服务。请注意,联想凌拓的通用条款也适用专业服务。如果本专业服务条款与联想凌拓的通用条款之间存在任何冲突,则以本专业服务条款为准。如果这些条款的英语版本与非英语版本之间存在争议,则在适用法律允许的范围内应用本条款的英文版本。联想凌拓以外的供应商提供的专业服务,应受相关供应商条款和条件的约束。

These Professional Services Terms (“Professional Services Terms”) set forth the terms and conditions under which LenovoNetApp Technology Limited (“LenovoNetApp”) will provide LenovoNetApp branded Professional Services to Customer unless Customer has a separate applicable agreement with LenovoNetApp for the provision of Professional Services. Please note that the LenovoNetApp General Terms shall also apply. To the extent there is any conflict between these Professional Services Terms and those contained in the LenovoNetApp General Terms, these Professional Services Terms will control and take precedence. In the event of a dispute between the English and non-English version of these Terms, the English version of the Terms will govern, to the extent permitted by applicable laws.Provision of Professional Services by Vendors other than LenovoNetApp shall be governed by the concerned Vendor’s terms and conditions.

1.定义

本专业服务条款中未明确定义的大写术语,与联想凌拓的通用条款中规定的含义相同。除联想凌拓的通用条款中另有定义,下列术语定义如下:

1.1. 交付成果。在相关约定文件中明确指定为交付成果的有形材料、报告、分析、文件或其他具体成果。

1.2. 约定文件。一份经联想凌拓批准的文件,包括但不限于工作说明书、服务概述或服务说明,用于规定联想凌拓提供的服务、履行时间表和/或交付成果。

1.3. 知识产权。任何类型的专利、设计权利、实用新型专利或其他类似的发明权利、版权、掩码作品权利、商业秘密、技术诀窍或机密性权利、商标、商品名称和服务标志以及任何其他无形财产权,包括根据成文法或普通法或合同在任何国家就上述任何一项提出的申请和注册(无论是否已完善、现有或今后提交、颁发或获得)。

1.4. 已存在的知识产权。在签订本专业服务条款之前,客户或联想凌拓已存续、拥有或以其他方式许可的知识产权。

1.5. 专业服务。咨询服务由联想凌拓或其代表按约定文件中的规定提供。

1.6. 专业服务材料。在执行专业服务期间,联想凌拓使用、生成、创建、开发或简化的交付成果、材料、软件、工具、技术诀窍和/或信息,包括对其进行的任何修改或改进。

1.7. 专业服务资源。联想凌拓指定为客户提供专业服务的雇员、供应商或分包商。

1. DEFINITIONS

Capitalized terms not specifically defined in these Professional Services Terms will have the same meaning as in the LenovoNetApp General Terms. In addition to the definitions set forth in the LenovoNetApp General Terms, the following definitions shall apply:

1.1. Deliverables. Tangible materials, reports, analyses, documents or other specific outputs expressly designated as Deliverables in the relevant Engagement Document.

1.2. Engagement Document. A LenovoNetApp-approved document, including but not limited to a statement of work, service brief or service description that defines the tasks, schedule of performance and/or Deliverables to be provided by LenovoNetApp.

1.3. IP Rights. Patents of any type, design rights, utility models or other similar invention rights, copyrights, mask work rights, trade secret, know-how or confidentiality rights, trademarks, trade names and service marks and any other intangible property rights, including applications and registrations for any of the foregoing, in any country, arising under statutory or common law or by contract and whether or not perfected, now existing or hereafter filed, issued, or acquired.

1.4. Pre-Existing IP. IP Rights, existing, owned, or otherwise licensed by Customer or LenovoNetApp prior to entering into these Professional Services Terms.

1.5. Professional Services. The consulting services to be provided by or on the behalf of LenovoNetApp as specified in an Engagement Document.

1.6. Professional Services Materials. Deliverables, materials, software, tools, know-how, and/or information used, generated, created, developed or reduced to practice, including any modifications thereof or thereto, by or for LenovoNetApp during the performance of the Professional Services.

1.7. Professional Services Resource. A LenovoNetApp employee, supplier or subcontractor which LenovoNetApp utilizes to provide Professional Services to Customer.

2. 服务范围

2.1. 项目。联想凌拓将根据订单文件(包括约定文件)和本专业服务条款执行专业服务。联想凌拓可以自行决定要求在专业服务开始之前签署约定文件。

2.2. 变更订单。除非双方授权代表已签署变更申请单,且联想凌拓已收到要求变更的适用订单文件,否则对工作说明书中指定的专业服务的变更即属无效。

2.3. 不得定制开发。专业服务具有可扩展性和可重复性,因此,相同或类似的专业服务已经提供给联想凌拓的其他客户,并将继续提供。任何定制开发活动均不得作为专业服务进行。任何定制开发服务均应另行签订书面协议。

2.4. 无超级用户访问权。在任何情况下,客户均不得授予专业服务资源根或“超级用户”以服务器或网路层的访问权限,对于由此产生或与之相关的损失或损害,联想凌拓不承担任何责任或义务。此类服务应另行签订书面协议。

2. SCOPE OF SERVICES.

2.1. Projects. LenovoNetApp will perform Professional Services in accordance with the Order Documentation, including the Engagement Document, and these Professional Services Terms. LenovoNetApp may at its sole discretion require an Engagement Document to be executed prior to commencement of the Professional Services.

2.2. Change Orders. Changes to the Professional Services specified in a statement of work will not be effective unless a change request form has been executed by authorized representatives of both Parties and LenovoNetApp has received the applicable Order Documentation supporting the change.

2.3. No Custom Development. Professional Services are of a scalable, repeatable nature and, as such, the same or similar Professional Services have been and will continue to be provided to other LenovoNetApp customers. No custom development activity shall be performed as Professional Services. Any custom development shall be subject to a separate written agreement.

2.4. No Superuser Access. In no event will Customer grant to a Professional Services Resource root or “superuser” access at a server or network level and LenovoNetApp will have no responsibility or liability for loss or damage that results from or is related thereto. Such services shall be subject to a separate written agreement.

3. 费用

客户应向按照任何相关付款时间表向联想凌拓支付专业服务费用,付款时间表和费用详见约定文件或相关报价单。客户签署约定文件或联想凌拓接受采购订单(如适用),即表明双方接受所述费用和付款时间表。如果没有经双方签署的变更单,对费用或付款时间表的任何变更均属无效。

3. FEES

An Engagement Document or the associated price quotation will state the fees to be paid by Customer to LenovoNetApp for Professional Services rendered and any related payment schedules. Customer’s execution of an Engagement Document or LenovoNetApp’s acceptance of a Purchase Order, as applicable, will indicate acceptance of the stated fees and payment schedules. No changes in fees or payment schedules will be effective absent a mutually executed change order.

4. 开支

除上述费用外,如果在约定文件中有所规定,客户应支付联想凌拓在执行专业服务期间合理发生的实际现金开支,包括差旅费用。

4. EXPENSES

In addition to the foregoing, if specified in an Engagement Document, Customer will pay LenovoNetApp its actual out-of-pocket expenses, including travel, as reasonably incurred by LenovoNetApp during the performance of the Professional Services.

5. 专业服务的期限和期满(取决于所投入的时间和材料)

关于时间和材料(“T&M”)专业服务,联想凌拓将根据客户购买的技术等级,向客户提供专业服务资源,以在商定的客户站点或远程执行T&M专业服务,服务时长为联想凌拓报价单和客户采购订单中规定的时数和/或天数。 按小时购买的T&M专业服务将以连续4小时为最小单位计算。对于按天购买的T&M专业服务,“天”在一个日历日内最少为4小时,但不超过8小时;或者累计逾时工作时数(在一个日历日超过8小时者)超过4小时,但不超过8小时。自采购订单日期起,客户可以使用T&M专业服务1年。客户付款不可退款,任何未使用的T&M专业服务均不支持退款。

5. DURATION AND EXPIRATION OF PROFESSIONAL SERVICES BASED ON TIME AND MATERIAL ENGAGEMENT

In relation to Time and Material (“T&M”) Professional Services, LenovoNetApp will provide to Customer a Professional Services Resource qualified at the skill level purchased by Customer, to perform T&M Professional Services, at an agreed Customer site or remotely, for the total amount of hours and/or days set forth in LenovoNetApp’s price quotation and Customer’s Purchase Order. T&M Professional Services purchased on an hourly basis will be performed in minimum increments of 4 consecutive hours. For T&M Professional Services purchased on a daily basis, a “day” constitutes at least 4 hours but not more than 8 hours in a single calendar day; or whenever aggregate overtime hours (those exceeding 8 hours on a calendar day), exceed 4 hours but not more than 8 hours. T&M Professional Services will be available to Customer for 1 year from the Purchase Order date Customer payments are nonrefundable, and credit for any unused T&M Professional Services will not be available.

6. 专业服务保证

联想凌拓向客户保证,履行专业服务的专业性符合普遍接受的行业惯例。如果专业服务实质上不符合本专业服务保证,联想凌拓将重新执行此类专业服务。这是客户对联想凌拓违反保证的唯一和排他性救济。

6. PROFESSIONAL SERVICES WARRANTY

LenovoNetApp warrants to Customer that the Professional Services will be performed in a professional, workmanlike manner consistent with generally accepted industry practices. If the Professional Services materially fail to conform to this Professional Services warranty, LenovoNetApp will re-perform such Professional Services. This is Customer’s sole and exclusive remedy in relation to breach of warranty.

7. 知识产权

双方将保留其现有知识产权的所有权利、所有权和利益。联想凌拓将保留专业服务、专业服务材料的所有权利、所有权和利益,包括其中包含的知识产权。在任何情况下,专业服务材料均不得视为包含客户现有的知识产权或客户机密信息。客户特此授予联想凌拓非排他性、全球性、无版税、完全缴足的许可,允许其使用此类已存在的知识产权和机密信息,执行或制作专业服务和专业服务材料。在收到客户的全额付款后,联想凌拓特此授予客户有限制、非独占、不可转让、不可分许可、可终止的许可,允许客户将专业服务材料用于内部业务目的。未经联想凌拓事先书面同意,客户不得将专业服务材料重新分发给任何第三方。

7. INTELLECTUAL PROPERTY RIGHTS

Each Party will retain all right, title and interest in and to its Pre-Existing IP. LenovoNetApp will retain all right, title, and interest in and to the Professional Services, Professional Services Materials, and IP Rights embodied therein. In no event will Professional Services Materials be deemed to include Customer Pre-Existing IP or Customer Confidential Information. Customer hereby grants LenovoNetApp a non-exclusive, worldwide, royalty-free, fully paid-up license to use such Pre-Existing IP and Confidential Information for the sole purpose of performing or producing the Professional Services and Professional Services Materials. Upon receipt of full payment, LenovoNetApp hereby grants to Customer a limited, non-exclusive, non-transferable, terminable license, with no right to sublicense, to use the Professional Services Materials for Customer’s internal business purposes. Customer will not re-distribute the Professional Services Materials to any third parties without LenovoNetApp’s prior written consent.

8. 终止;不付款的救济

客户可以提前30天发出书面通知,非因故终止约定文件。此类终止不会免除客户在终止前支付联想凌拓任何款项的义务,包括联想凌拓产生或支出的所有费用、时间和材料成本,这些费用应在终止时立即支付。客户可以在终止通知后要求联想凌拓完成正在进行的专业服务。联想凌拓可自行决定选择执行,服务完成后,联想凌拓有权获得此类专业服务的全额报酬。如果客户未能在采购订单日期的1年内按照付款条款或交付计划付款,则除了任何其他可用的救济外,联想凌拓将有权拒绝向客户提供进一步的专业服务。如果客户实质性违反本专业服务条款,联想凌拓可以在书面通知客户后立即终止约定文件。

8. TERMINATION; REMEDIES FOR NON-PAYMENT

Customer may terminate an Engagement Document for convenience upon 30 days prior written notice. Such termination will not relieve Customer from its obligations to pay LenovoNetApp any sums accrued prior to such termination, including all expenses and time and material costs incurred or expended by LenovoNetApp, which will be immediately due upon termination. Customer may request that LenovoNetApp complete the Professional Services in progress after notice of termination. LenovoNetApp may, in its sole discretion, elect to perform, and, upon completion, will be entitled to full compensation for the completion of such Professional Services. If Customer fails to make payment in accordance with the payment terms or schedule delivery within 1 year of Purchase Order date, then, in addition to any other available remedies, LenovoNetApp will have the right to decline to render further Professional Services to Customer. LenovoNetApp may terminate an Engagement Document immediately on written notice to Customer if Customer commits a material breach of these Professional Services Terms.
