所有交易条款 Terms for All Transactions

本通用条款(以下简称“条款”)适用于 联想凌拓 科技有限公司(以下简称“联想凌拓”)产品和服务的销售。除非客户与联想凌拓就该次销售订立了附加协议,否则,联想凌拓可直接向获得产品和服务的客户(以下简称“客户”)进行销售。客户订购、接受交付、保存、使用产品或以其他方式处理与联想凌拓的交易即表示同意这些条款。联想凌拓和客户在本协议中分别称为“一方”或统称为“双方”。

These General Terms (“Terms”) apply to the sale of Products and Services by LENOVONETAPP Technology Limited (“LenovoNetApp”). LenovoNetApp directly to a customer acquiring Products and Services (“Customer”), unless Customer has entered into a separate agreement with LenovoNetApp governing such sale. By ordering, accepting delivery, keeping, or using Products or otherwise proceeding with any transaction with LenovoNetApp, Customer agrees to these Terms. LenovoNetApp and Customer may each be referred to as a “Party” or collectively, as the “Parties.”

1.定义

1.3. 终端用户许可协议,即EULA。系指终端用户对软件使用的条款。

1.4. 硬件。系指包括其部件,但不包括任何硬件的固件。

1.5. 订单文件。系指适用的联想凌拓报价(如需购买适用的服务,则系指联想凌拓约定文件)、本协议项下购买或许可的产品或服务的相应采购订单及相关文件。

1.6. 价格单。系指联想凌拓当前的产品和服务价格列表,以及它们的相关价格。

1.7. 产品。硬件、软件及相关文件。

1.8. 采购订单。系指提供给联想凌拓的与购买产品和服务的相应报价一致的书面或电子订单。

1.9. 服务。系指不属于支持服务的咨询、安装、实施等服务(“专业服务”),及其供应商为供应产品提供的常用技术支持和维护服务(“支持服务”)。

1.10. 软件。系指目标代码格式的软件,包括(如适用)操作系统软件、协议、固件、备份与恢复、灾难复原、存储效率和管理软件。

1.11. 供应商。系指硬件和软件的制造商和服务的供应商。

1.12. 供应商终端用户条款。系指有关产品和服务的条款(如有)。

1. DEFINITIONS

1.1. Documentation. Technical documentation describing the features and functions of the associated Products.

1.2. End User. The party acquiring Products and Services for that party's use and not for resale or redistribution as specified in the Order Documentation.

1.3. End User License Agreement or EULA. The terms governing End User’s use of Software.

1.4. Hardware. Hardware, including its components and spare parts, but excluding any firmware.

1.5. Order Documentation. The applicable LenovoNetApp price quotation (and the LenovoNetApp engagement document, if required for the purchase of applicable Services), the corresponding Purchase Order, and the associated Documentation for the Products or Services purchased or licensed hereunder.

1.6. Price List. LenovoNetApp’s then-current list of Products and Services, and their associated prices.

1.7. Products. Hardware, Software, and associated Documentation.

1.8. Purchase Order. A written or electronic order provided to LenovoNetApp consistent with the corresponding price quotation for the purchase of Products and Services.

1.9. Services. Consulting, installation, implementation and other services that are not Support Services (“Professional Services”), and its generally available technical support and maintenance services for Products (“Support Services”) offered by the Vendor.

1.10. Software. Software in object code format, including (as applicable) operating system software, protocols, firmware, backup and recovery, disaster recovery, storage efficiency, and management software.

1.11. Vendors. Manufacturer(s) of the Hardware and Software and provider of the Services.

1.12. Vendor End User Terms. The terms in respect of the Products and Services, if any.

2. 订单、交付和验收

2.1. 订单。系指经联想凌拓接受后生效的所有采购订单。根据要求,客户将通过电子邮件提交所有采购订单。

2.2. 变更、取消、重新安排。系指客户可在任何计划装运日期的最多10天前,修改或取消采购订单,并且每次可重新安排一次采购订单中所要求的交付日期,而无需额外付费。产品退货须经联想凌拓批准并支付相应费用。

2.3. 交付。交付硬件以及预安装于硬件之上的软件应根据下述规定:当合作伙伴或其授权代表或代理商或物流承运商在联想凌拓指定的取货地点取硬件时,应视为交付。合作伙伴需在收到联想凌拓发送的取货通知之后的7个日历日内(包括通知当天的日期以及公共节假日和法定假日)提取硬件,如果合作伙伴未能满足上述要求,合作伙伴应自行承担与延迟提取硬件有关的所有费用,包括但不限于仓库费用。 当联想凌拓通过电子邮件或以其他方式向客户提供启用密钥时,或者,如果不需要启用密钥,当联想凌拓通过电子邮件或其他方式使该软件可供用户下载或使用时,则会发生交付未在硬件上预先安装的软件。

2.4. 损失风险。系指产品损失或损坏的风险以及产品中任何硬件的所有权将在交付时转移给客户。

2.5. 验收。系指除非在联想凌拓约定文件中另有约定,否则,客户将在交付时验收产品,并在被提供服务时验收服务。

2. ORDERS, DELIVERY and ACCEPTANCE

2.1. Orders. All Purchase Orders are subject to acceptance by LenovoNetApp. Upon request, Customer will submit all Purchase Orders electronically via e-mail.

2.2. Changes, Cancellation, and Rescheduling. Customer may modify or cancel Purchase Orders up to 10 days prior to any scheduled shipment date, and Customer may reschedule a requested delivery date one time per Purchase Order without additional charge. Product returns are subject to LenovoNetApp approval and applicable charges.

2.3. Delivery. Delivery of Hardware and Software pre-installed on the Hardware occurs when the Hardware has been picked up by Partner or its authorized representative or agent or logistics carrier at such place as advised by LenovoNetApp. Partner shall pick up the Hardware within seven (7) calendar days (inclusive of the day of the Notification as well as any public holidays and statutory holidays) upon receiving goods pickup notification from LenovoNetApp (“Notification”), failing which, Partner shall be solely responsible for all costs associated with Partner’s delay in picking up the Hardware, including without limitation warehouse fees. Delivery of Software that is not pre-installed on Hardware occurs when LenovoNetApp makes the enabling key available electronically via e-mail or otherwise to Customer or, if an enabling key is not required, when LenovoNetApp makes such Software available for download or use electronically via e-mail or otherwise by Customer.

2.4. Risk of Loss. Risk of loss or damage to the Products and title to any Hardware in the Products will pass to Customer upon delivery.

2.5. Acceptance. Acceptance by Customer of Products will occur upon delivery, and acceptance by Customer of Services will occur when such Services are rendered, unless otherwise agreed in a LenovoNetApp engagement document.

3. 定价和付款

3.1. 定价。系指联想凌拓可自行决定更改其价格单所列价格,并可随时从其价格单中增减产品和服务。在价格变更生效日期之后接收的采购订单,但根据有效的和当前的联想凌拓报价,将按联想凌拓报价单所列价格开具发票。

3.2. 支付条款。系指客户应按联想凌拓发票中的规定,在不迟于联想凌拓开具发票之日起30日内,以发票中指定的货币全额付款,不得抵销,并应以立即可用的资金支付。

3.3. 未付款的救济。系指客户支付低于发票金额的款项将不被视为接受全部付款,任何支票或随附任何付款或支票的信函中的任何背书或声明,亦不得视为同意和满意。联想凌拓可接受此等付款或支票,但不损害联想凌拓追索任何到期未付款项的权利,或寻求本条款、法律或同等法规所规定的任何其他救济。联想凌拓有权将从客户处收到的任何款项用于客户的任何到期和/或拖欠的账目。如客户未能及时付款,则客户同意,除了所有其他可用的救济外,未能及时付款而构成严重违反本协议的行为,联想凌拓可自行决定拒绝向客户进一步交付产品和提供服务。

3.4. 税费和关税。系指客户全权负责因使用或联想凌拓提供产品和/或服务而产生的税费(基于联想凌拓净收入的税费除外)、费用、关税和运费以及所有相关的罚款和利息。如果产生此类税费,包括任何预提税,客户应支付的款项(需要扣除或扣留)应增加到必要的程度,以确保联想凌拓收到等于发票金额的全额付款。除了规定的价格外,客户还将承担所有适用的关税、许可费和跨国运输产品的税费。

3. PRICING AND PAYMENTS

3.1. Pricing. LenovoNetApp may, at its sole discretion, change the prices set forth in its Price List and add or remove Products and Services from its Price List at any time. A Purchase Order received after the effective date of a price change, but pursuant to a valid and current LenovoNetApp quotation, will be invoiced at the price stated on the LenovoNetApp quotation.

3.2. Payment Terms. Customer will make full payment in the currency specified in the invoice, without set-off and in immediately available funds, not later than 30 days from the date of LenovoNetApp’s invoice.

3.3. Remedies for Non-payment. Customer payment of an amount less than the invoice amount will not be deemed as acceptance of payment in full, nor will any endorsement or statement on any check or letter accompanying any payment or check be deemed an accord and satisfaction. LenovoNetApp may accept such payment or check without prejudice to LenovoNetApp’s right to recover the balance of any amount due or pursue any other remedy provided for in these Terms or by law or in equity. LenovoNetApp has the right to apply any payment received from Customer to any account of Customer which is due and/or delinquent. Customer agrees that failure to make timely payment amounts to a material breach of the Agreement If Customer fails to make timely payment, in addition to all other available remedies, LenovoNetApp may at its sole discretion, decline to make further deliveries of Product and provision of Services to Customer.

3.4. Taxes and Duties. Customer is solely responsible for the payment of taxes (except taxes based on LenovoNetApp’s net income), fees, duties and charges, and all related penalties and interest, that arise from its utilization or LenovoNetApp’s provision of the Products and/or Services. If such taxes are incurred, including any withholding taxes, the sum payable by Customer (in respect of which such deduction or withholding is required to be made) shall be increased to the extent necessary to ensure that LenovoNetApp receives payment in full of an amount equal to the invoiced amount. In addition to the stated prices, Customer will be liable for all applicable duties, license fees and taxes for Products shipped across international borders.

4. 保证

4.1. 终端用户保证。系指联想凌拓应将相关供应商终端用户条款(如有)和EULA中规定的所有适用保证传递给客户。

4.2. 排他性保证。系指在适用法律允许的范围内,上述保证是客户的唯一和排他性保证和救济。联想凌拓明确否认对适销性、所有权、特定用途的适用性和非侵权的默示保证。

4. WARRANTY

4.1. End User Warranty. LenovoNetApp shall pass through to Customer all applicable warranty set forth in the relevant Vendor End User Terms, if any, and EULA.

4.2. Exclusive Warranties. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, THE FOREGOING WARRANTIES ARE CUSTOMER’S SOLE AND EXCLUSIVE WARRANTIES AND REMEDIES. LENOVONETAPP SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

5. 软件许可

5.1. 系指软件的使用应符合EULA的要求,并受本条款及相应订单文件中规定的任何限制的约束。

5. SOFTWARE LICENSE

5.1. Use of Software shall be in accordance with the EULA and is subject to these terms and any limitation or restrictions set forth in the corresponding Order Documentation.

6. 服务

6.1. 服务。系指合作伙伴承认服务由相关供应商或供应商代表提供,并且提供的此类服务受供应商规定的附加条款和条件的约束。在联想凌拓提供服务的情况下,提供的此类服务受联想凌拓网站上发布的附加条款和条件的约束。

6. SERVICES

6.1. Services. Partner acknowledges that Services are provided by or on behalf of the concerned Vendor and provision of such Services are subject to additional terms and conditions imposed by the Vendor. In the case of LenovoNetApp providing the Services, the provision of such Services are subject to additional terms and conditions posted at LenovoNetApp’s website.

7. 知识产权与保护

7.1. 一般规定。软件与文件是授权(而非售卖)给客户。本协议受世界范围内的知识产权法律和条约保护,并包含商业机密,相关许可人保留未明确授予客户机密信息的所有权。任何商标、服务标志、标识或商标名的权利、所有权或利益均不授予客户。

7.2. 知识产权权利主张。在遵守本节的条款和条件的前提下,联想凌拓将为第三方对客户提出的任何权利主张进行辩护或和解,即在本条款下由联想凌拓或以联想凌拓的名义出售并交付给客户的硬件、软件和文件,侵犯了任何专利、商标或版权(简称“知识产权权利主张”)。如果任何有权司法辖区的法院判决合作伙伴支付任何损害和成本(统称“损害”)且该等损害明确归属于知识产权权利主张的,联想凌拓应当支付该等损害金额。客户需:(a)迅速以书面形式通知联想凌拓有关的知识产权权利主张;(b)向联想凌拓提供信息和协助,为此类知识产权权利主张进行辩护;(c)将针对相关抗辩或和解谈判的唯一控制权交予联想凌拓。

7.3. 救济。联想凌拓可以自行选择替换或修改产品或其相关部分,使其不再侵权;获得任何必要的许可证;或替换产品。如果联想凌拓确定这些替代方案中没有一个是合理可用的,则客户可以退回产品,并且联想凌拓将退还客户的购买金额。

7.4. 除外责任。即使本条款存在相反规定,联想凌拓对因以下原因引起或与之相关的任何侵权索赔不承担任何义务或责任:(a)联想凌拓遵守或使用由客户或客户代表提供的设计、规格、发明、说明或技术信息;(b)由客户或客户代表进行了产品修改;(c)客户未按联想凌拓和/或相关供应商的要求,根据适用的许可或限制使用产品、升级及使用新版本的产品以及变更产品,或未根据联想凌拓和/或相关供应商的要求,停止使用产品;(d)该产品或该产品的任何部分与其他产品或服务相结合;(e)第三方品牌产品;或(f)客户或第三方存储或使用与产品相关的任何内容或信息。

7.5. 全部责任。即使本条款存在相反规定,第7节规定了联想凌拓对IP索赔的全部责任和客户对IP索赔的唯一和排他性救济。

7. INTELLECTUAL PROPERTY RIGHTS AND PROTECTION

7.1. General. The Software and Documentation is licensed, not sold, to Customer. It is protected by intellectual property laws and treaties worldwide, and contains trade secrets, in which the relevant licensors reserve and retain all rights not expressly granted to Customer. No right, title or interest to any trademark, service mark, logo, or trade name is granted to Customer.

7.2. IP Claims. Subject to the terms and conditions of this Section, LenovoNetApp will defend or settle any claim brought by a third party against Customer that Hardware, Software, and Documentation sold and delivered by or for LenovoNetApp to Customer under these Terms infringe any patent, trademark, or copyright (“IP Claim”). LenovoNetApp will pay settlement amounts or, if applicable, damages and costs finally awarded by a court of competent jurisdiction (collectively, “Damages”) against Customer to the extent such Damages are specifically attributable to the IP Claim, provided that Customer: (a) promptly notifies LenovoNetApp in writing of the IP Claim; (b) provides information and assistance to LenovoNetApp to defend such IP Claim; and (c) provides LenovoNetApp with sole control of the defense or settlement negotiations.

7.3. Remedies. LenovoNetApp may, at its option, substitute or modify the Product, or the relevant portion thereof, so that it becomes non-infringing; procure any necessary license; or replace the Product. If LenovoNetApp determines that none of these alternatives is reasonably available, then Customer may return the Product and LenovoNetApp will refund Customer’s purchase price.

7.4. Exclusions. Notwithstanding anything to the contrary in these Terms, LenovoNetApp has no obligation or liability for any claim of infringement that arises from or relates to: (a) LenovoNetApp’s compliance with or use of designs, specifications, inventions, instructions, or technical information furnished by or on behalf of Customer; (b) Product modifications made by or on behalf of Customer; (c) Customer’s failure to use the Product according to the applicable license or limitation, or to upgrade or use a new version of the Product, to make a change or modification requested by LenovoNetApp and/or the concerned Vendor, or to cease using the Product if requested by LenovoNetApp and/or the concerned Vendor; (d) the Product, or any portion thereof, in combination with any other product or service; (e) Third Party Branded Products; or (f) any content or information stored on or used by Customer or a third party in connection with a Product.

7.5. Entire Liability. Notwithstanding anything to the contrary in these Terms, this Section 7 states LenovoNetApp’s entire liability and Customer’s sole and exclusive remedies for IP Claims.

8. 保密

8.1. 一般规定。“机密信息”是指一方向另一方披露的与本条款有关的任何信息,(a)在披露时标记为“机密”或“专有”;(b)如果进行口头或视觉上的披露,在披露时被指定为“机密”或“专有”,并在披露后30天内以书面形式汇总给接收方;或(c)就其性质或披露的情况而言,应合理地视为机密或专有。“机密信息”包括任何这类资料的复制,但不包括下列资料:(a)通过接收方的任何不作为或忽略而属于或成为公共领域的一部分;(b)披露前为接收方合法拥有,并没有由接收方直接或间接从披露方获得;(c)在不限制该披露事项的情况下,由第三者合法地向接收方披露;或(d)由接收方独立开发。

8.2. 机密信息的处理。机密信息将仍然是披露方的财产。双方都有权单独使用对方的机密信息,以履行其条款项下的义务。各方同意(a)自披露之日起3年内对另一方的机密信息进行保密;(b)只向有需要进一步了解这些条款的雇员或代理人披露对方的机密信息,并且要求他们在与此处规定有相同限制的条款下保护这些机密信息免受未经授权的披露。接收方将以同样的方式保护机密信息不受未经授权的使用、访问或披露,其保护方式与保护其类似性质的专有信息的方式相同,并且无论如何至少要有合理的谨慎程度。如果接收方向披露方及时提供书面通知,并有机会寻求保护令或其他法律补救措施,则接收方可以根据需要按照司法或行政程序披露披露方的机密信息。

8.3. 返还/销毁。根据披露方的书面请求,除非接收方被要求依法保留此类信息,否则披露方的所有机密信息(包括其所有副本)将被返还或销毁,并且接收方将提供符合本协议第8.3节的书面证明。

8. CONFIDENTIALITY

8.1. General. “Confidential Information” means any information disclosed by a Party to the other Party in connection with these Terms that (a) is marked “confidential” or “proprietary at the time of disclosure; (b) if disclosed orally or visually, is designated “confidential” or “proprietary” at the time of disclosure and summarized in a writing delivered to the receiving Party within 30 days of disclosure; or (c) by its nature or the circumstances surrounding disclosure, should reasonably be considered confidential or proprietary. “Confidential Information” includes any reproduction of such information, but does not include information that: (a) is or becomes a part of the public domain through no act or omission of the receiving Party; (b) was in the receiving Party’s lawful possession prior to the disclosure and had not been obtained by the receiving Party either directly or indirectly from the disclosing Party; (c) is lawfully disclosed to the receiving Party by a third party without restriction on the disclosure; or (d) is independently developed by the receiving Party.

8.2. Treatment of Confidential Information. Confidential Information will remain the property of the disclosing Party. Each Party will have the right to use the other’s Confidential Information solely for the purpose of fulfilling its obligations under these Terms. Each Party agrees (a) to hold the other Party’s Confidential Information in confidence for a period of 3 years from the date of disclosure; and (b) to disclose the other Party’s Confidential Information only to those employees or agents who have a need to know in furtherance of these Terms and who are required to protect such Confidential Information against unauthorized disclosure under terms no less restrictive than those set forth herein. The receiving Party will protect the Confidential Information from unauthorized use, access or disclosure in the same manner as it protects its own proprietary information of a similar nature, and in any event with at least a reasonable degree of care. The receiving Party may disclose the disclosing Party’s Confidential Information to the extent such disclosure is required pursuant to a judicial or administrative proceeding, provided that the receiving Party gives the disclosing Party prompt written notice thereof and the opportunity to seek a protective order or other legal remedies.

8.3. Return/Destruction. Upon the disclosing Party’s written request, all Confidential Information (including all copies thereof) of the disclosing Party will be returned or destroyed, unless the receiving Party is required to retain such information by law, and the receiving Party will provide written certification of compliance with this Section 8.3.

9. 责任范围

9.1. 责任除外条款。无论权利主张的基础为何(例如合同、侵权或法规),联想凌拓或其供应商或分包商在任何情况下均不对客户的特殊、偶然、间接或后果性损害承担责任(包括但不限于停机成本;数据丢失或损坏;收入、利润、商誉或预期储蓄的损失;替代商品和/或服务的采购;业务中断;客户未能遵守适用的“不可消除”和“不可改写”的美国政府法规;或客户未能获得运营与产品使用相关的任何第三方软件所必需的任何适用的第三方许可,并且使联想凌拓可以自由且不间断地执行服务)。本除外条款独立于这些条款中规定的任何补救措施。

9.2. 累计责任。如果法律允许限制责任,联想凌拓对合作伙伴的责任仅限于直接损害,金额相当于(i)人民币1,000,000元;或(ii)导致声称损害的产品或服务的购买价格之中较低者,如果相关购买价格在一段时间内支付,则合作伙伴需根据上述购买行为在最多十二(12)个月内支付总金额。这种限制是累积的,而非针对每个事件。

9.3. 例外。第9.1和9.2节中规定的限制不适用于因以下原因引起的索赔责任:(a)因疏忽或重大过失而导致的死亡或人身伤害;(b)故意不当行为或欺诈行为;(c)根据适用法律不能排除的任何其他责任,或(d)根据第7节提出的知识产权权利主张。

9. LIMITATION OF LIABILITY

9.1. Liability Exclusions. Regardless of the basis of claim (e.g., contract, tort, or statute), in no event will LenovoNetApp or its suppliers or subcontractors be liable to Customer for special, incidental, indirect or consequential damages (including but not limited to, downtime costs; loss or corruption of data; loss of revenues, profits, goodwill, or anticipated savings; procurement of substitute goods and/or services; interruption of business; Customer’s failure to comply with applicable “non-erasable” and “non-rewriteable” U.S. government regulations; or Customer’s failure to obtain any applicable third party licenses necessary to operate any third party software required in connection with the use of the Products and for LenovoNetApp to freely and without interruption perform the Services). This exclusion is independent of any remedy set forth in these Terms.

9.2. Cumulative Liability. To the extent that limitation of liability is permitted by law, LenovoNetApp’s liability to Partner is limited to direct damages in an amount equivalent to the lower of either (i) RMB1,000,000 or (ii) the purchase price of the Product or Services that give rise to the alleged damages and if the associated purchase price is payable over a period of time, the total amount paid by Partner under the said purchase over a maximum of a twelve (12) month period. This limitation is cumulative and not per incident.

9.3. Exceptions. The limitations set forth in Sections 9.1 and 9.2 will not apply to liability for claims arising from: (a) death or personal injury caused by negligence or gross negligence; (b) willful misconduct or fraud; (c) any other liability which cannot be excluded under applicable laws, or (d) IP Claims under Section 7.

10. 遵守法律

10.1. 合规。各方都应遵守适用的法律法规。

10.2. 出口管制。合作伙伴承认,根据这些LNCP条款提供的产品、技术和服务受美国、欧盟和其他国家的法律和法规的出口管制和贸易制裁,并且产品、技术和服务可能包括出口管制的零件和/或技术。合作伙伴同意遵守此类法律和法规,特别表述并保证如下:(a)除非经美国出口许可证或许可证例外授权,否则不会直接或间接地向受美国禁运或贸易制裁的国家进口、出口、再出口或转口产品和服务(或在这些国家使用产品和服务)(即古巴、伊朗、朝鲜、苏丹、叙利亚和乌克兰克里米亚地区);(b)它不是由美国工业和安全局、国务院和海外外国资产管制主张的任何政府限制方名单上确定的一方,也不会直接或间接地向此类各方直接或间接进口,出口,再出口或转口;(c)不会将产品、服务或技术用于美国法律禁止的任何目的,包括但不限于核、导弹、化学或生物武器或其他大规模杀伤性武器的开发、设计、制造或生产。合作伙伴同意在联想凌拓的请求下向联想凌拓提供目的地最终用途和终端用户信息(使用产品的终端用户名或业务部门)。合作伙伴将获得任何和所有必要的许可证,支付出口、再出口或(国内)转让的法律要求的所有相关费用、收费和税务豁免。合作伙伴同意,自装运之日起至少7年内,对购买、许可、部署或分销的产品和服务的出口、再出口和转让保持完整、真实和准确的记录。合伙人同意通过合同或其他类似保证,向其出售、再出口或以其他方式转让产品和服务的各方承担义务,除本节规定的义务外,遵守美国和其他适用国家的进出口管制。合作伙伴同意在获悉任何与本协议有关的违反海关或出口管制法律的行为时,及时通知联想凌拓。

10.3. 反贿赂。各方将遵守与反腐败或反贿赂有关的所有适用国家法律,包括但不限于经修订的《美国反海外腐败法》、《英国反贿赂法》以及实施《经合组织关于打击国际商业交易中贿赂外国公职人员公约》的法律法规。

10. COMPLIANCE WITH LAWS

10.1. Compliance. Each Party will comply with all applicable laws and regulations.

10.2. Export Control. Partner acknowledges that the Products, technologies and Services supplied under these LNCP Terms are subject to export controls and trade sanction under the laws and regulations of the United States, the European Union and other countries as applicable, and that the Products, technologies and Services may include export controlled components and/or technologies. Partner agrees to comply with such laws and regulations and, in particular, represents and warrants that it: (a) will not, unless authorized by U.S. export licenses or license exception authorizations, directly or indirectly import, export, re-export, or divert Products and Services to (or use Products and Services in) countries subject to U.S. embargoes or trade sanctions programs (i.e. Cuba, Iran, North Korea, Sudan, Syria, and Crimea Region of Ukraine); (b) it is not a party, nor will it import, export, re-export, or divert, directly or indirectly to a party, identified on any government restricted parties lists maintained by the U.S Bureau of Industry and Security, the Department of State and the Overseas Foreign Assets Control; and (c) will not use Products, Services or technology for any purposes prohibited by United States law, including without limitation, the development, design, manufacture, or production of nuclear, missile, chemical or biological weaponry, or other weapons of mass destruction. Partner agrees to provide LenovoNetApp with destination end use and End User information (End User name or business division using the Products) upon LenovoNetApp’s request. Partner will obtain any and all necessary license any pay all related fees, charges, and exactions as legally required to export, re-export or(in-country) transfer. Partner agrees to maintain full, true, and accurate records of exports, re-exports, and transfers of the Products and Services purchased, licensed, deployed or distributed for a minimum of 7 years from date of shipment. Partner agrees to obligate, by contract or other similar assurances, the parties to whom it sells, re-exports, or otherwise transfers Products and Services to comply with the import and export controls of the United States and other countries as applicable in addition to the obligations set forth in this Section. Partner agrees to promptly notify LenovoNetApp if it learns of any violations of customs or export control laws related in any way to this Agreement.

10.3. Anti-Bribery. Each Party will comply with all applicable country laws relating to anti-corruption or anti-bribery, including but not limited to the requirements of the U.S. Foreign Corrupt Practices Act, as amended, the U.K. Bribery Act, and legislation implementing the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions.

11. 其它

11.1. 条款及终止。这些条款在合同终止前持续有效。客户可在书面通知联想凌拓后随时终止这些条款。如果客户严重违反这些条款,包括没有到期付款,且在该违反可以补救的情况下未在联想凌拓书面通知要求其补救的30天内采取行动,联想凌拓可书面通知客户立即终止这些条款。这些条款终止后,所有使用软件和文档的权利终止,客户将应联想凌拓要求,迅速归还或销毁客户所拥有或控制的软件和文档的所有副本,包括任何许可启用密钥,除非授予客户的许可证是永久许可证,并且客户仍然完全遵守这些条款。4.1-4.4、6、7、8、9、10和11节将在这些条款期满或终止后持续有效。

11.2. 美国联邦政府客户。第11.2节仅适用于美国联邦政府客户。软件和文档是“商业”计算机软件和文档,并根据适用的美国政府采购法规(例如FAR,DFAR)中阐述的与商业计算机软件和文档有关的权利获得许可。美国联邦政府客户将不受第11.16节中规定的适用审计费用的约束。争议将根据1978年《合同纠纷法》解决。这些条款中的任何规定都不意味着减损美国司法部在《美国法典》第28条第516款中所确定的权利。所有其他条款仍按书面规定有效。

11.3. 不可抗力。何一方都不对因不可抗拒的自然力、民事或军事当局行为、政府优先事项、火灾、洪水、地震、流行病、检疫、能源危机、罢工、劳工问题、恐怖主义、战争、骚乱、事故、短缺、运输中的滞留或者任何超出当事方合理控制的其他原因(统称为“不可抗力”)为另外一方造成的任何声称的损失或损害负责。对于实际执行的交付产品或服务,不可抗力不会免除因此而应付的任何款项的义务。如果不可抗力事件持续超过30天,双方将真诚地协商终止受影响的订单文档。

11.4. 数据安全和恢复。客户全权负责其产品的使用,包括使用产品管理或存储的个人数据。客户全权负责(a)管理其数据备份,数据恢复和灾难恢复措施;(b)进行硬件和软件的监督、控制和管理,包括遵循以下行业标准流程、程序和要求:(i)数据的安全性、输入和输出的准确性以及备份计划,包括发生不可抗力事件或硬件或软件错误或故障时的重启和恢复;(ii)重建丢失或更改的文件、数据和程序。联想凌拓对客户的内部流程和与客户使用产品相关的客户数据或信息的保护、丢失、保密或安全相关的程序不承担任何责任或义务。

11.5. 客户数据。如果客户提供联想凌拓访问个人数据的渠道以便联想凌拓根据本协议提供服务或出于联想凌拓履行本协议的目的,(a)客户承认并同意(i)联想凌拓可以转让和处理它从中国境外的客户处收到的数据(ii)与任何此类转让或处理有关的所有必要同意被视为已由客户获得,并根据适用法律转让给联想凌拓,以将数据传达给联想凌拓和(ii)双方将确保根据所有适用的数据保护法和这些条款第8节中规定的保密规定披露和处理此类个人数据。根据要求,客户应签署联想凌拓可能要求的其他文件,以确保双方遵守相关的数据保护法律。客户承认并同意拒绝签署此类文件可能导致联想凌拓无法继续为客户提供服务。

11.6. 危险环境。产品不是设计或用于核设施或类似危险环境的设计、建造、操作或维护。联想凌拓对此类使用造成的任何损害不承担任何责任。

11.7. 更改、替换和停产产品。客户确认并同意供应商可随时自行决定更改、替换或停产产品。联想凌拓将作出商业上合理的努力,在收到供应商的任何此类变更通知后,提前60个日历日发出通知。

11.8. 弃权。在任何情况下,任何放弃或未能执行这些条款的任何规定将不被视为在任何其他场合放弃任何其他规定或此类规定。任何一方行使这些条款中规定的任何权利或补救措施都不会影响其行使任何其他权利或补救措施的权利。

11.9. 可分割性。如果一个有管辖权的法院以任何理由无法执行这些条款中的任何规定,则将改变和解释这些条款,以在适用的法律下尽可能最大限度地完成这些规定的目标,其它规定将不受影响并保留充分效力。

11.10. 转让。未经联想凌拓事先书面同意,客户不得转让任何权利或委托这些条款下的任何义务。未经联想凌拓事先书面同意,客户声称的任何转让将无效。

11.11. 分包商。联想凌拓可以通过分包商履行这些条款规定的义务。

11.12. 独立承包商。这些条款下的双方关系是独立承包商的关系。这些条款中的任何规定均不得解释为在双方之间建立委托人与代理人、特许人与特许经营人、合资企业或雇主及雇员之间的关系。任何一方都不直接或暗示地作为另一方的代理人行事或代表自己。

11.13. 宣传。未经另一方事先书面同意,任何一方均不得发布或导致发布有关这些条款、产品或服务的广告、宣传或类似的公共传播。尽管有上述规定,客户同意在联想凌拓产品和/或服务的买方列表中被提及,并且其徽标和商标仅可用于此目的。

11.14. 审计。客户授予联想凌拓及其独立会计师有权在合理通知下在正常工作时间内每年一次审核客户或客户的分包商,并验证是否符合这些条款。如果审计披露了软件过度使用或任何其他重大不合规情况,客户将立即向联想凌拓支付通知客户的任何额外费用以及进行此类审计的合理费用。

11.15. 一般规定。这些条款将根据中华人民共和国法律解释,但不包括其法律冲突规定。双方同意放弃使用《联合国国际货物买卖合同公约》。联想凌拓保留控制客户使用产品引起的任何诉讼或索赔的所有方面的权利。因本合同或与本合同有关的任何纠纷、争议或索赔、或其违约、终止或无效,应提交中国国际经济贸易仲裁委员会(CIETAC)在北京仲裁。仲裁裁决是最终的,对双方具有约束力。仲裁应根据CIETAC在申请仲裁时有效的仲裁规则进行。如果联想凌拓与第三方许可人的协议中有所要求,联想凌拓的许可人将是这些条款的直接和预期受益人,并可以直接针对客户执行。除非各方的授权代表接受修正,否则不得更改这些条款。如果这些条款的英语版本与非英语版本之间存在争议(根据当地要求翻译),则在适用法律允许的范围内应用本条款的英文版本。这些条款代表联想凌拓与客户之间就本协议项下获得的产品和服务达成的全部协议和谅解。它们取代之前联想凌拓与客户之间的任何通信、陈述或协议,并优先于双方之间的任何报价、采购订单、确认或类似通信中的任何冲突或附加条款。除非双方明确同意其变更,否则客户发布的订单文档将被视为包含这些条款并受这些条款的约束。任何采购订单的预印条款或通用条款和条件,或任何一方发出的其他类似函件均不生效。

11.16. 使用限制。产品和服务仅供客户使用,不得转售或再分配。

11. MISCELLANEOUS

11.1. Term and Termination. These Terms are effective until terminated. Customer may terminate these Terms at any time upon written notice to LenovoNetApp. LenovoNetApp may terminate these Terms immediately upon written notice to Customer if Customer commits a material breach of these Terms, including failure to remit payments when due and, in the event that the breach is remediable, Customer fails to remedy it within 30 days of LenovoNetApp’s written notice requiring Customer to do so. Upon termination of these Terms, all rights to use the Software and Documentation cease and Customer will, at LenovoNetApp’s request, promptly return or destroy all copies of the Software and Documentation, including any license enablement keys, in Customer’s possession or under Customer’s control, unless the license granted to Customer is a perpetual license and Customer remains in full compliance with these Terms. Sections 4.1. - 4.4., 6, 7, 8, 9, 10, and 11 will survive expiration or termination of these Terms.

11.2. U.S. Federal Government Customers. This Section 11.2 applies only to U.S. Federal Government Customers. The Software and Documentation is “commercial” computer software and documentation and is licensed in accordance with the rights articulated in applicable U.S. government acquisition regulations (e.g. FAR, DFARs) pertaining to commercial computer software and documentation. U.S. Federal Government customers will not be subject to applicable audit costs specified in Section 11.16. Disputes will be subject to resolution pursuant to the Contract Disputes Act of 1978. Nothing contained in these terms is meant to derogate the rights of the U.S. Department of Justice as identified in 28 U.S.C. §516. All other Terms remain in effect as written.

11.3. Force Majeure. Neither Party will be liable to the other for any alleged loss or damages resulting from acts of God, acts of civil or military authority, governmental priorities, fire, floods, earthquakes, epidemics, quarantine, energy crises, strikes, labor trouble, terrorism, war, riots, accidents, shortages, delays in transportation, or any other causes beyond the reasonable control of a Party (collectively, "Force Majeure"). Force Majeure will not relieve the obligation of any payments due hereunder for delivered Products or Services actually performed. If the Force Majeure event continues for more than 30 days, the Parties will negotiate in good faith the termination of the affected Order Documentation(s).

11.4. Data Security and Recovery. Customer is solely responsible for its use of the Products, including personal data managed or stored using Products. Customer is solely responsible for (a) management of its data back-up, data recovery, and disaster recovery measures; and (b) undertaking the supervision, control and management of Hardware and Software including following industry-standard processes, procedures and requirements for (i) the security of data, accuracy of input and output, and back-up plans, including restart and recovery in the event of a Force Majeure event or a Hardware or Software error or malfunction; and (ii) reconstruction of lost or altered files, data, and programs. LenovoNetApp will have no responsibility or liability with respect to for Customer’s internal processes and procedures related to the protection, loss, confidentiality, or security of Customer's data or information in connection with Customer’s use of the Products.

11.5. Customer Data. In the event Customer provides LenovoNetApp with access to personal data in order for LenovoNetApp to provide services hereunder or for purpose of LenovoNetApp’s performance of this Agreement, (a) Customer acknowledges and agrees that (i) LenovoNetApp may transfer and process data it receives from Customer outside the P.R.C. and (ii) all necessary consents in relation to any such transfer or processing are deemed to have been procured by Customer and given to LenovoNetApp upon transfer by virtue of applicable law to communicate the data to LenovoNetApp and (ii) the Parties will ensure that such personal data is disclosed and handled in accordance with all applicable data protection laws and the confidentiality provisions set forth in Section 8 of these Terms. Upon request, Customer shall sign additional documents as LenovoNetApp may require so as to ensure the Parties’ compliance with relevant data protection laws. Customer acknowledges and agrees that its refusal to sign such documents may result in LenovoNetApp’s inability to continue to provide services to Customer.

11.6. Hazardous Environments. Products are not designed or intended for use in or in the design, construction, operation, or maintenance of a nuclear facility or similar hazardous environment. LenovoNetApp will not be liable for any damages resulting from such use.

11.7. Modification, Substitution, Discontinued Product. Customers acknowledge and agree that Vendors will have sole discretion, at any time, to change, substitute, or discontinue Products. LenovoNetApp will use commercially reasonable efforts to provide 60 calendar days’ prior notice of any such changes upon receiving the same from the Vendors.

11.8. Waiver. Any waiver or failure to enforce any provision of these Terms on any occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. Either Party’s exercise of any right or remedy provided in these Terms will be without prejudice to its right to exercise any other right or remedy.

11.9. Severability. In the event any provision of these Terms is held by a court of competent jurisdiction to be unenforceable for any reason, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions hereof will be unaffected and remain in full force and effect.

11.10. Assignment. Customer may not assign any rights or delegate any obligations under these Terms without the prior written consent of LenovoNetApp. Any purported assignment by Customer without LenovoNetApp’s prior written consent will be null and void.

11.11. Subcontractors. LenovoNetApp may use subcontractors to fulfill its obligations under these Terms.

11.12. Independent Contractors. The relationship of the Parties under these Terms is that of independent contractors. Nothing set forth in these Terms will be construed to create the relationship of principal and agent, franchisor/franchisee, joint venture, or employer and employee between the Parties. Neither Party will act or represent itself, directly or by implication, as an agent of the other Party.

11.13. Publicity. No advertising, publicity releases, or similar public communications concerning these Terms, the Products, or the Services will be published or caused to be published by either Party without the prior written consent of the other Party. Notwithstanding the foregoing, Customer agrees to be mentioned in the list of buyers of LenovoNetApp Products and/or Services and that its logo and trademark may be used for this purpose only.

11.14. Audit. Customer grants LenovoNetApp and its independent accountants the right to audit Customer or Customer’s subcontractors once annually during regular business hours upon reasonable notice to verify compliance with these Terms. If the audit discloses Software over-usage or any other material noncompliance, Customer will promptly pay to LenovoNetApp any additional fees notified to Customer, and the reasonable costs of conducting such audit.

11.15. General. These Terms will be construed pursuant to the laws of the People’s Republic of China, excluding its conflicts of law provisions. The Parties agree to disclaim the application of the United Nations Convention on Contracts for the International Sale of Goods. LenovoNetApp reserves the right to control all aspects of any lawsuit or claim that arises from Customer’s use of the Products. Any dispute, controversy or claim arising from or in connection with this Contract, or the breach, termination or invalidity thereof, shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Beijing. The arbitral award shall be final and binding upon the parties. The arbitration shall be conducted in accordance with CIETAC’s arbitration rules in effect at the time of applying for such arbitration. If required by LenovoNetApp’s agreement with a third party licensor, LenovoNetApp’s licensor will be a direct and intended beneficiary of these Terms and may enforce them directly against Customer. These Terms may not be changed except by an amendment accepted by an authorized representative of each Party. In the event of a dispute between the English and non-English version of these Terms (where translated for local requirements), the English version of the Terms will govern, to the extent permitted by applicable laws. These Terms represent the entire agreement and understanding between LenovoNetApp and Customer with respect to the Products and Services acquired hereunder. They supersede any previous communications, representations or agreements between LenovoNetApp and Customer and prevail over any conflicting or additional terms in any quote, Purchase Order, acknowledgement, or similar communications between the Parties. Order Documentation(s) issued by Customer will be deemed to incorporate and be subject to these Terms, except where the Parties expressly agree in writing to variations thereto. The pre-printed terms or general terms and conditions on any Purchase Order, or other similar correspondence originating by either Party will have no effect.

11.16. Use Restriction. Products and Services are for Customer’s use and are not for resale or redistribution.
